Job Summary: The Data Use Agreement (DUA), Material Transfer Agreement (MTA) and Confidential Disclosure Agreement (CDA) Coordinator will be responsible for coordinating, drafting, negotiating, processing, monitoring, and documenting incoming and outgoing DUA, MTA and CDA agreements and related documents; will provide back-up to the Agreement and Compliance Agreement Coordinator as needed.
The successful candidate will be interacting with a number of different constituencies on a daily basis, including external third parties, faculty, technology managers, legal counsel and existing team members. The position requires excellent communication and organizational skills, the ability to work cooperatively within the team, as well as a high level of motivation to achieve outcomes and provide good client service. This position reports to the Executive Director of MSU Technologies.
Required Education/Experience/Skills: Due to export control requirements, candidate must be a citizen of the United States of America, or a permanent resident. A bachelor's degree in a related field; three years of related and progressively more responsible or expansive work experience related to coordinating, drafting, negotiating, processing, and monitoring legal documents necessary to the operation of a technology commercialization or research program; or an equivalent combination of education and experience.
Desired Education/Experience/Skills: Completion of college coursework in life science or physical science; Strong interpersonal, communication, and organizational skills as well as a high level of motivation to achieve outcomes; completion of a paralegal program, self-starter; ability to work well with others, pay close attention to detail, and follow through on tasks; ability to manage/coordinate multiple tasks and work successfully with academic scholars and other staff.
Description of Duties:
75% - Develop, draft, and negotiate agreements with external third parties, using MSUT standard and non-standard agreements, based on input from faculty and technology managers, that are complex in nature including:
· Data Use Agreements (including coordination of data security plans)
· Materials Transfer Agreements (equipment transfer agreements, researcher departure agreements)
· Non-disclosure Agreements (confidential disclosure agreements)
· Develop contract language to adapt agreements to fit specific or unusual circumstances including agreements that must be used from external third parties.
· Act as a resource for the campus community at large on intellectual property protection related to data, material and information exchanges.
10% - Develop and maintain agreement language for a clause library of approved exceptions, explanations, policy, working with MSU Office of The General Counsel.
15% - Oversee the processing and administration of agreements, including input and management in an electronic database, and routing for proper University signatures.
